2. Definitions

  • Audioplay.nl: the supplier and distributor of multimedia and navigation products.

  • Partner / Customer: any business customer who purchases products from Audioplay.nl.

  • Products: all items as offered through the website or business channels.

  • Agreement: any business transaction between Audioplay.nl and the customer.

3. Applicability

3.1 These terms and conditions apply to all business agreements, deliveries, offers, partner registrations and orders at Audioplay.nl.
3.2 Deviations are only valid if they have been agreed in writing.
3.3 General terms and conditions of the customer are expressly rejected.

4. Role and position of Audioplay.nl

4.1 Audioplay.nl delivers products as received from manufacturers or suppliers.
4.2 Technical specifications, software, compatibility and vehicle support are based on information provided by the manufacturer.
4.3 The customer is responsible for the installation, application testing and technical suitability of the product within its sales channel.

5. Prices and Rates

5.1 Business prices, volume discounts and dealer agreements are exclusively intended for the customer in question and remain confidential.
5.2 Audioplay.nl reserves the right to adjust prices in the event of market or cost price changes.
5.3 Discounts apply only to the customer for whom they have been established and are not transferable.

6. Quotations and Orders

6.1 Quotations are without obligation, unless stated otherwise.
6.2 An order becomes binding after confirmation by Audioplay.nl.
6.3 Delivery times are indicative and may vary due to product availability or logistical circumstances.
6.4 Audioplay.nl may impose additional conditions on business orders, including minimum purchase quantities.

7. Payment terms

7.1 Business orders must be paid in full in advance, unless otherwise agreed in writing.
7.2 When paying on account, exceeding the payment term results in immediate due date.
7.3 Statutory commercial interest and any costs will apply in the event of late payment.
7.4 Audioplay.nl may suspend deliveries for outstanding amounts.

8. Delivery and Transfer of Risk

8.1 Delivery takes place when the goods are handed over to the carrier.
8.2 The risk of loss or damage passes to the customer from that moment on.
8.3 Insured shipping will only take place if this has been agreed in writing in advance.
8.4 Any transport damage must be reported immediately to the carrier.

9. Inspection upon Receipt

9.1 The customer must check the delivery immediately upon receipt for quantities, product type and condition.
9.2 Any deviations must be reported in writing within 24 hours.
9.3 After this period, the delivery is deemed to have been received correctly.

10. Warranty

10.1 Warranty is provided in accordance with the manufacturer's guidelines.
10.2 The warranty applies exclusively to material and manufacturing defects of the product itself.
10.3 The warranty does not include:

  • assembly or disassembly costs

  • diagnostic costs from garages or installers

  • damage due to incorrect connection, wiring interference or vehicle configurations

  • software adjustments, firmware changes or external accessories
    10.4 Audioplay.nl may have a product tested or returned for inspection.
    10.5 Replacement may consist of an equivalent or refurbished product.

11. Returns Policy (Business Customers)

11.1 Business purchases are not covered by the statutory right of withdrawal.
11.2 Returns will only be accepted after prior written approval.
11.3 Products must be returned unused and in their original packaging.
11.4 Products that have been connected, configured or mounted are not eligible for return.
11.5 In case of accepted returns, a handling fee may be applied.

12. Installation and Application

12.1 The customer is responsible for correct installation and assessment of vehicle suitability.
12.2 Audioplay.nl provides product information to the best of its knowledge, but technical application remains the responsibility of the customer.
12.3 Any costs arising from installation or diagnosis by third parties are not the responsibility of Audioplay.nl.

13. Resale and Distribution

13.1 Resale of products may be subject to additional agreements.
13.2 Pricing information, documentation and commercial data may not be disclosed without written permission.
13.3 Publication of purchase prices, scales or internal conditions is not permitted.

14. Liability

14.1 Audioplay.nl's liability is limited to the value of the order in question.
14.2 Audioplay.nl is not liable for indirect losses such as:

  • business damage

  • loss of turnover

  • costs caused by installation errors

  • damage determined by or at third parties
    14.3 The customer indemnifies Audioplay.nl against claims from end users in connection with the installation, use, or application of the product.

15. End of Cooperation

15.1 Audioplay.nl may terminate the collaboration if business conditions, payment agreements, or distribution guidelines are not adhered to.
15.2 Any outstanding amounts remain due after termination.

16. Limitation of liability

16.1 Audioplay.nl's obligations will lapse or be suspended if performance is reasonably impossible due to factors beyond its control.

17. Applicable law

Dutch law applies to all business agreements.
Disputes will be submitted to the competent court of the district where Audioplay.nl is located.
